The commercial legal framework
Liberia's Commercial Code of 2010 is a central source for commercial transactions. Its stated purposes include simplifying, clarifying and modernising commercial law and allowing commercial practices to develop through agreement, usage and custom.
Agreements and commercial obligations
Commercial relationships often depend on the terms the parties agreed, the type of transaction involved and any mandatory legal rules. Important questions can include:
- what goods, services or payment were promised;
- when performance was due;
- whether the agreement was written or otherwise provable;
- whether a party failed to perform;
- what remedy or dispute-resolution mechanism applies.
The Code also recognises obligations such as good faith, diligence, reasonableness and care in the contexts governed by it.
Keep reliable records
Contracts, invoices, receipts, correspondence, delivery records and payment evidence can become important if a dispute arises. A clear written agreement can reduce uncertainty about price, timing, responsibility and dispute resolution.

Liberia has a specialised Commercial Court. Its jurisdiction covers a range of commercial matters, while other civil courts can have jurisdiction depending on the nature and value of a claim.
